Terms of Service

By creating an account or using CoverageShield.ai, you agree to these Terms of Service. If you do not agree, do not use the platform. If you are using CoverageShield on behalf of a business, you represent that you have authority to bind that business to these terms.

This section is important. Please read it carefully.

CoverageShield is an AI-powered risk management and insurance intelligence platform. We analyze insurance documents, identify potential coverage gaps, and help you understand your insurance portfolio.

CoverageShield is NOT:

• An insurance broker, agent, or carrier
• A licensed insurance advisor
• A legal or financial advisor
• A substitute for professional insurance counsel

CoverageShield does NOT:

• Sell, bind, or place insurance coverage
• Provide legal or financial advice
• Guarantee the accuracy or completeness of any analysis
• Warrant that using our platform will prevent claim denials

All analysis generated by CoverageShield is for informational purposes only. Before making any insurance decision including purchasing, modifying, or canceling coverage, you must consult a licensed insurance professional in your state. CoverageShield is a tool to help you ask better questions of your broker, not a replacement for your broker.

CoverageShield is not responsible for:

• Insurance claim denials that occur despite using our platform
• Coverage gaps that our platform failed to identify
• Business losses arising from inadequate insurance coverage
• Decisions made based on our analysis without professional verification

You must be at least 18 years old and legally authorized to conduct business in the United States to use CoverageShield. The platform is intended for commercial business use only, not personal use.

You agree to provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials. You must notify us immediately at don@coverageshield.ai if you suspect unauthorized access to your account. You are responsible for all activity that occurs under your account.

Free Tier: New accounts start on a permanent free tier with core features. No credit card is required.

Subscription Tiers: Paid subscriptions are available at Shield and Shield Pro tiers. Current pricing is displayed at coverageshield.ai/pricing.

Founding Member Pricing: Customers who subscribe during the founding member period at the advertised founding member price will maintain that price for the life of their continuous subscription. This rate is forfeited if the subscription lapses.

Billing: Subscriptions are billed monthly or annually in advance. All payments are processed by Stripe.

Auto-Renewal: Subscriptions auto-renew at the end of each billing period. You may cancel at any time to prevent renewal.

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial subscription periods.

Price Changes: We will notify you at least 30 days before any price increase. Founding member pricing is exempt from standard price increases as described above.

You agree not to:

• Attempt to access another customer’s data
• Upload fraudulent, false, or forged insurance documents
• Use the platform for any illegal purpose
• Attempt to reverse engineer, decompile, or copy the platform
• Use automated tools to scrape or extract data from the platform
• Impersonate another person or organization
• Interfere with the platform’s operation or security
• Use the platform to harm, harass, or defraud others

Violation of these terms may result in immediate account termination without refund.

You own your data. By uploading documents and data to CoverageShield, you grant us a limited license to process that data solely for the purpose of providing the platform’s services to you. We do not claim ownership of your insurance documents, business data, or any other content you upload.

When you cancel and request deletion, we will delete your data as described in our Privacy Policy.

CoverageShield uses artificial intelligence to analyze insurance documents and generate recommendations. You acknowledge that:

• AI analysis may contain errors, omissions, or inaccuracies
• Gap analysis results may not identify all coverage gaps
• Contract compliance results may not reflect all applicable requirements
• AI-generated broker letters are drafts requiring professional review
• No AI analysis constitutes professional insurance, legal, or financial advice

You are solely responsible for verifying all AI-generated analysis with a licensed insurance professional before making coverage decisions. CoverageShield makes no warranty, express or implied, that its analysis is complete, accurate, or fit for any particular purpose.

CoverageShield, LLC owns all rights to the platform, including its software, design, AI models, agent systems, industry data, and all content created by CoverageShield. These terms do not transfer any intellectual property rights to you.

You may not copy, reproduce, modify, or create derivative works of the platform without our written permission.

CoverageShield treats your business and insurance data as confidential. We do not share your data with insurance carriers, brokers, or competitors. See our Privacy Policy for full details.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVERAGESHIELD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

COVERAGESHIELD’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNTS YOU PAID TO COVERAGESHIELD IN THE TWELVE MONTHS PRECEDING THE CLAIM.

This limitation applies even if CoverageShield has been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless CoverageShield, LLC and its officers, members, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the platform, your violation of these terms, or your violation of any third party’s rights.

By you: You may cancel your account at any time from your account settings or by emailing don@coverageshield.ai.

By us: We may suspend or terminate your account immediately and without notice if you violate these terms, engage in fraudulent activity, or if we reasonably believe your use of the platform creates legal or security risk. We will attempt to provide notice where possible.

Upon termination, your right to access the platform ceases immediately. Your data retention rights are as described in the Privacy Policy.

These terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising from these terms or your use of CoverageShield shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Dallas County, Texas. The arbitrator’s decision shall be final and binding.

You waive the right to participate in a class action lawsuit or class-wide arbitration against CoverageShield.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

We will notify you by email at least 30 days before making material changes to these terms. Continued use of the platform after changes take effect constitutes acceptance of the updated terms. If you do not agree to the updated terms, you must cancel your account before the changes take effect.

If any provision of these terms is found unenforceable, the remaining provisions will continue in full force and effect.

These terms, together with our Privacy Policy, constitute the entire agreement between you and CoverageShield regarding the platform and supersede all prior agreements.
